Trade Secrets

Trade secrets are confidential business information which provide the owner a competitive edge. It encompasses manufacturing or industrial secrets and commercial secrets. The subject matter of trade secrets generally include unpatented inventions, sales methods, distributions methods, consumer profiles, advertising strategies, list of suppliers and clients, recipes, formulations, procedures, formulae, drawings designs and manufacturing processes. While a what information constitutes a trade secret will depend on each individual case, unfair practices in respect of secret information include industrial or commercial espionage, breach of contract and breach of confidence.

There are two sets of agreements associated with the transfer of know-how agreement: (a) the disclosure and (b) the non-disclosure agreements, which are not separately parts of the principal know-how agreement. The initial need for 'disclosure' is due to the requirement of a licensee firm to know what is the specific, unique or general 'content' of the know-how that a licensor firm possesses which promises value to the licensee on entering into contract. Those who receive confidential information from the licensor (the owner of the trade secret), relating to the licensed know-how, so as to perform their tasks, undertake non-disclosure agreements.
